Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Toolbox Repair, Inc. (“Toolbox,” “we,” “our,” or “us”), a Delaware corporation. They govern your use of the Toolbox mobile applications, the website at toolbox.repair, and any related services we provide (collectively, the “Services”).

Please read these Terms carefully. They include important provisions that limit our liability and require disputes to be resolved by individual arbitration rather than in court. By creating an account, downloading the app, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Important safety notice Toolbox provides AI-generated repair guidance. AI can be wrong. Diagnoses and DIY guides are educational — not a substitute for advice from a licensed contractor, electrician, plumber, or gas technician. When the app rates a repair as high risk or recommends a professional, do not attempt the work yourself. Sections 6, 9, and 10 below explain this in detail.

1. Who We Are and What the Services Do

Toolbox is a mobile application that uses artificial intelligence to help homeowners and other users diagnose home repair issues. You record a short video, audio narration, or photos of the problem, and our AI provides a written assessment of what may be wrong, along with a safety risk rating and a recommended path forward (a do-it-yourself guide for low-risk issues, or a referral to a licensed professional for higher-risk issues).

Toolbox is a software product. We do not perform repairs, dispatch contractors, employ tradespeople, inspect homes, or carry insurance for repair work. When professional help is needed, we connect you with independent contractors through our marketplace partner Thumbtack (see Section 8).

2. Eligibility and Accounts

To use the Services, you must be at least 16 years old. If you are between 16 and 18 (or the age of majority in your jurisdiction), you may use the Services only with the consent and supervision of a parent or legal guardian, who agrees to these Terms on your behalf.

To access most features, you will need to create an account. You agree to:

3. Subscriptions, Billing, and Cancellation

Some features of the Services require a paid subscription (“Toolbox+”). Subscription plans available at the time of these Terms:

Pricing and plans

Prices may change. We will give you advance notice and an opportunity to cancel before any price increase takes effect for an existing subscription.

Where you pay

Subscriptions are sold and billed through Apple App Store (for iOS) or Google Play (for Android), subject to their terms of service. We do not collect or store your payment card information; that is handled by Apple, Google, and our subscription management provider, RevenueCat.

Auto-renewal

All subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel at least 24 hours before the end of the current period. You can cancel anytime through your Apple ID or Google Play subscription settings. Cancellation takes effect at the end of the current billing period; you will continue to have paid access until then.

Free trials and promotional offers

If you start a free trial or promotional period, it converts to a paid subscription at the listed price unless you cancel before the trial or promotional period ends. Each user is generally limited to one free trial.

Refunds

All sales are final except where required by law. Refund requests for App Store or Google Play purchases must be made directly to Apple or Google in accordance with their refund policies; Toolbox cannot issue refunds for those transactions.

California residents

In compliance with California law, you have the right to cancel your subscription at any time by following the cancellation instructions above. To request a refund where applicable, contact Apple or Google directly. You may also email [email protected] for assistance.

4. Your Content and the License You Grant Us

When you use the Services, you submit videos, audio recordings, photos, written descriptions, and similar materials (collectively, “Your Content”). You retain ownership of Your Content.

By submitting Your Content, you grant Toolbox a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, and use Your Content for the following purposes:

6. The Toolbox Diagnosis: What It Is and What It Isn’t

A Toolbox diagnosis is an AI-generated educational assessment based on the video, audio, and photos you submit. It tells you what the AI believes may be wrong, rates the safety risk, and suggests a path forward.

A Toolbox diagnosis is not:

You are solely responsible for the decisions you make based on a Toolbox diagnosis, including whether to perform a repair yourself, hire a professional, or take no action. We strongly recommend obtaining an in-person assessment from a licensed professional before performing or commissioning any significant repair, especially for issues involving electricity, gas, water under pressure, structural elements, roofing, or anything that affects life safety.

7. Safety Routing

Toolbox classifies diagnoses into safety tiers (low, medium, and high risk) and may recommend that you hire a licensed professional rather than attempt a repair yourself. The classification is based on the AI’s assessment of the issue and is intended to err on the side of caution.

If the Services rate a repair as high risk or recommend a licensed professional, you should not attempt the repair yourself. Repairs in categories such as electrical work, gas appliances and lines, structural elements, roofing, and certain plumbing tasks may be required by law to be performed by a licensed professional in your jurisdiction, and attempting them yourself can cause serious injury, death, fire, electrocution, gas leaks, water damage, structural collapse, or significant property damage.

To the maximum extent permitted by law, Toolbox disclaims all liability for losses, damages, injuries, or other harm arising from repairs you attempt against the recommendation of a high-risk or pro-required diagnosis.

8. Hire a Pro: The Thumbtack Marketplace

When you choose to be matched with a professional, Toolbox connects you through our marketplace partner Thumbtack. The pros listed in the marketplace are independent contractors. They are not employees, agents, or representatives of Toolbox.

Important things to understand about pro matching:

Toolbox may earn a referral commission from Thumbtack when you book a pro. This does not change the price you pay; commissions are paid by Thumbtack out of its existing fees.

9. DIY Guides — Use at Your Own Risk

For lower-risk issues, the Services may provide a do-it-yourself repair guide. These guides are educational; they describe a general approach to a common type of repair.

DIY guides are not customized to your specific home, tools, skill level, or local building codes. Tools, supplies, materials, and techniques vary; not every guide is appropriate for every user or every situation.

Before following any DIY guide, you are responsible for:

Toolbox is not liable for outcomes of repairs you perform yourself, including injury, property damage, code violations, or failed repairs.

10. Disclaimers

Without limiting the foregoing, Toolbox does not warrant that:

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, the excluded warranties are limited to the minimum extent permitted by law.

11. Limitation of Liability

These limitations apply to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the extent permitted by law, and nothing in these Terms limits our liability for fraud, gross negligence, willful misconduct, or any liability that cannot be excluded by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Toolbox and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.

13. Third-Party Services

The Services rely on, and you may interact with, services provided by third parties — for example, Apple App Store and Google Play (subscriptions and distribution), Thumbtack (pro marketplace), Anthropic and OpenAI (AI processing), Amazon Web Services and Google Cloud (hosting), and others described in our Privacy Policy. Your use of those third-party services is subject to their own terms and privacy policies. Toolbox is not responsible for third-party services.

Apple-specific terms (iOS users only): These Terms are between you and Toolbox, not Apple. Apple is not responsible for the Services or their content. To the extent these Terms apply to your iOS use of the Services, Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.

14. Intellectual Property

The Services, including the Toolbox name and logo, the user interface, software, AI models, repair guides, and content created by Toolbox, are owned by Toolbox or our licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial purposes, subject to these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Services or our AI models, except as expressly permitted by these Terms or applicable law. We retain all rights not expressly granted to you.

Feedback

If you send us feedback, suggestions, or ideas about the Services, we may use them without obligation to you.

15. Termination

You may stop using the Services at any time and delete your account in Settings > Account > Delete my account, or by emailing [email protected].

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or to protect the safety, security, or integrity of the Services and our users.

16. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including the right to sue in court and to participate in a class action.

Informal resolution first

Before filing a claim, you agree to try to resolve the dispute informally by contacting [email protected] with a written description of the dispute and your contact information. We will attempt to resolve the dispute through good-faith negotiation for at least 60 days before either party may begin formal proceedings.

Binding individual arbitration

If we cannot resolve the dispute informally, you and Toolbox agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or the Services through binding individual arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration will take place in Los Angeles County, California, or by phone or video conference at your option. The arbitrator’s decision will be final and binding.

Class action and jury trial waiver

Disputes must be brought in your or our individual capacity. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. If a court decides this class waiver is unenforceable as to a particular claim, that claim (and only that claim) must proceed in court rather than arbitration.

Opt-out

You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first agreeing to these Terms (or, for existing users, within 30 days of the effective date of this version of the Terms), with the subject line “Arbitration Opt-Out” and your account email. Opting out preserves your right to bring individual or class claims in court. Opting out of arbitration does not affect any other provision of these Terms.

Exceptions

Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.

17. General Provisions

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the arbitration provisions in Section 16 are governed by the U.S. Federal Arbitration Act. To the extent any dispute is permitted to be brought in court, you and Toolbox agree to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to venue there.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have an account) or through an in-app notice at least 30 days before the changes take effect. Your continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, you should stop using the Services and delete your account before the effective date.

Entire agreement

These Terms, together with our Privacy Policy and any other notices or agreements we provide, are the entire agreement between you and Toolbox regarding the Services and supersede any prior agreements.

Severability

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent possible and the remaining provisions will continue in full force.

No waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or to any affiliate.

Force majeure

Neither party will be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, power outages, cyber-attacks, or government actions.

Notices

We may send notices to you by email, in-app notification, or by posting on toolbox.repair. You may send notices to us at the addresses in Section 18.

Survival

Sections 4, 6, 7, 9, 10, 11, 12, 14, 16, and 17 survive termination of these Terms.
